Terms of Service

These Terms of Service govern your use of AskSuls websites and services. By accessing or using the service, you agree to these terms.

AskSuls is operated by ACD Management Consulting DMCC ("ACD", "AskSuls", "we", "us", and "our").

If you use AskSuls under a separate written agreement, order form, data-processing addendum, or enterprise contract, that agreement controls where it conflicts with these terms.

The service

AskSuls helps users turn benchmarking questions into scoped research briefs, reviewable research plans, cited evidence, decision narratives, and presentation support.

Some features may be experimental, invite-only, usage-limited, or available only to certain accounts or plans.

Unless a written agreement says otherwise, the service is provided without service-level commitments, uptime commitments, or support response commitments.

Early access

Early access may be limited, experimental, or changed as the product develops.

We may accept, decline, pause, or revoke early access where needed to protect the service, focus the product, comply with obligations, or manage capacity.

Accounts

You are responsible for maintaining the confidentiality of your account and for activity under your account.

You must provide accurate account information and use the service only for work you are authorized to perform.

If you use AskSuls on behalf of a company or other organization, you represent that you have authority to use the service for that organization and to bind that organization to these terms where applicable.

Acceptable use

You agree not to:

  • Use the service for unlawful, harmful, deceptive, or abusive activity.
  • Attempt to access systems, accounts, or data you are not authorized to access.
  • Interfere with or disrupt service reliability.
  • Probe, scan, or test security controls without written authorization.
  • Upload content you do not have the right to process.
  • Use outputs as a substitute for professional judgment in legal, tax, investment, financial, medical, safety-critical, or regulated contexts.

Customer content

You retain rights to content you submit to the service.

You grant AskSuls a limited license to host, process, store, display, transform, and transmit customer content as needed to provide, secure, maintain, troubleshoot, and support the service.

You should only submit content that you are authorized to process through AskSuls, including any confidential, proprietary, personal, or third-party information.

You are responsible for ensuring that your submission of customer content does not violate third-party rights, confidentiality obligations, data protection obligations, securities rules, professional duties, or other restrictions that apply to you or your organization.

AI outputs and verification

AskSuls uses AI systems and other automated processing. Outputs may contain errors, omissions, stale information, unsupported claims, or incorrect citations.

You are responsible for reviewing outputs before relying on them. AskSuls is an AI-assisted research workflow product, not legal, tax, investment, financial, medical, or other regulated professional advice.

AskSuls is not an investment adviser, broker-dealer, fiduciary, rating agency, securities research provider, or professional adviser. Outputs are not recommendations to buy, sell, hold, value, or underwrite securities, companies, assets, or transactions.

Subject to these terms and any applicable written agreement, you may use outputs generated for your account for lawful business purposes, including internal analysis, external work product, client deliverables, board materials, memos, and presentations. You are responsible for reviewing outputs, confirming source support, clearing third-party rights, and deciding whether an output is appropriate for any external, client-facing, investment, board, or commercial use.

Third-party services

The service relies on third-party providers for infrastructure, account access, payments, analytics, product operations, and AI inference.

AskSuls is not responsible for third-party services outside our control, but we choose providers that are appropriate for the product posture and continue to improve operational controls.

Fees and billing

If you purchase a paid plan, fees, credits, usage limits, renewal terms, and billing details will be presented at purchase or in the applicable written agreement.

Payments may be processed by Stripe. You are responsible for taxes, fees, and charges associated with your use of paid services unless otherwise stated in a written agreement.

Unless a separate written agreement says otherwise, paid access may be subject to usage limits, credit balances, plan changes, or cancellation terms shown at checkout or in the product.

Credits, usage allowances, or run entitlements are product access rights, not cash balances. They expire, roll over, refresh, or refund only as stated at purchase, in the product, or in a written agreement. Product credit refunds, releases, or adjustments return credits to your AskSuls balance; they are not cash refunds unless we expressly state otherwise, approve a cash refund, a written agreement says otherwise, or applicable law requires it.

Unless stated otherwise at purchase, approved by AskSuls, required by law, or provided in a written agreement, fees are non-refundable. If a paid run fails because of a service-side issue, AskSuls may provide a retry, replacement credit, or other remedy at its reasonable discretion or under the applicable written agreement.

Subscriptions may renew automatically unless canceled before the renewal date. To cancel a subscription, contact contact@asksuls.com, or use any in-product or billing-portal cancellation path that is available to your account. Unless the checkout flow, billing portal, written agreement, or applicable law says otherwise, cancellation stops future renewals and does not automatically refund past fees, used credits, or the current billing period. Price, plan, feature, or usage-limit changes will be handled through checkout, account notices, product notices, or written agreement terms where applicable.

Suspension and termination

You may stop using the service at any time.

We may suspend or terminate access if we reasonably believe you violated these terms, created risk for the service or other users, failed to pay fees when due, or used the service in a way that could create legal, security, or operational harm.

After termination, your access to the service, workspaces, credits, exports, or generated work product may end. AskSuls may retain or delete account data, customer content, logs, billing records, and operational records according to the Privacy Policy, product settings, backup practices, legal obligations, and any written agreement.

AskSuls is not intended to be your only archive for important business records. You are responsible for exporting or retaining copies of outputs and materials that you need to preserve outside the service.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold AskSuls harmless from claims, losses, liabilities, damages, costs, and expenses arising from your unauthorized content, misuse of the service, violation of these terms, violation of law, infringement of third-party rights, or reliance on outputs without appropriate review.

Disclaimers

The service is provided as is and as available. To the maximum extent permitted by law, AskSuls disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

Limitation of liability

To the maximum extent permitted by law, AskSuls will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption.

To the maximum extent permitted by law, AskSuls' total liability for claims relating to the service will not exceed the greater of USD 100 or the amounts you paid to AskSuls for the service in the three months before the event giving rise to the claim. This cap does not apply where applicable law does not allow it.

Copyright complaints

If you believe that content available through AskSuls infringes your copyright, send a notice to contact@asksuls.com that includes a description of the protected work, the location of the alleged infringing material, your contact information, and a good-faith statement that you are authorized to act on behalf of the rights holder. We may remove or restrict access to material that we reasonably believe is infringing.

Export controls and sanctions

You may not access or use the service in violation of applicable export, sanctions, or trade-control laws, including those of the United Arab Emirates and the United States. You may not access or use the service from a country, or as a person or entity, subject to comprehensive sanctions or trade restrictions.

Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural events, infrastructure or provider outages, denial-of-service activity, network failures, government action, or other circumstances that could not reasonably have been prevented.

Notices

Legal notices to AskSuls should be sent to contact@asksuls.com. Notices to you may be provided to the email address associated with your account, through the product, or through the website.

Order of precedence

If a written agreement between you and AskSuls conflicts with these terms, the written agreement controls for that conflict. Otherwise, these terms apply in full.

Assignment

You may not assign or transfer these terms or any rights under them without our prior written consent. We may assign these terms in connection with a merger, acquisition, financing, reorganization, or asset sale.

Severability

If any part of these terms is held to be unenforceable, the remaining parts remain in full force.

Entire agreement

These terms, together with any written agreement, order form, or product-specific terms presented to you, are the entire agreement between you and AskSuls regarding the service and supersede prior or contemporaneous agreements on the same subject.

Survival

Sections that by their nature should survive termination, including those covering customer content, AI outputs and verification, fees and billing for amounts due, indemnity, disclaimers, limitation of liability, governing terms, and these final clauses, survive termination.

Governing terms

Unless a written agreement says otherwise or mandatory law requires a different result, these terms are governed by the laws of the United Arab Emirates, and the courts of Dubai, UAE will have exclusive jurisdiction over disputes relating to these terms or the service.

For enterprise or paid production use, support commitments, service levels, data-processing terms, procurement terms, and any different governing law or venue should be specified in the applicable written agreement.

For early access or trial use without a written agreement, these terms are intended to operate as practical use terms until a formal commercial agreement is in place.

Changes

We may update these terms. If we make material changes, we will update the Last updated date and take reasonable steps to notify users when appropriate.

Your continued use of the service after updated terms become effective means you accept the updated terms.
